GOLDEN STATE WATER COMPANY, GOLDEN STATE WATER COMPANY ON BEHALF OF ITS BEAR VALLEY ELECTRIC SERVICE DIVISION AND BEAR VALLEY ELECTRIC SERVICE, INC. FOR AUTHORITY TO IMPLEMENT A CORPORATE REORGANIZATION PLAN THAT WILL TRANSFER THE ELECTRIC UTILITY OPERATIONS OF BEAR VALLEY ELECTRIC SERVICE DIVISION TO BEAR VALLEY ELECTRIC SERVICE, INC.

The California Public Utilities Commission (CPUC) is interested in hearing from you regarding Golden State Water Company’s Bear Valley Electric Service (BVES) Division’s request in Application No. 18-12-019 for authorization to transfer its electric service division’s operations to a newly formed sister corporation, Bear Valley Electric Service, Inc. (BVES NewCo). The Public Participation Hearing (PPH) is scheduled for the date, time and location listed below.
An Administrative Law Judge (Judge) will be presiding at this PPH to listen to concerns, comments, and opinions on this application. One or more Commissioners may attend, but no decisions will be reached at these hearings. All public comments from these PPHs will be included in the formal record and become public record.
The hearing’s location is wheel-chair accessible. If you need a non-English speaking interpreter or special assistance, please contact the CPUC Advisor’s Office (PAO) at the address listed at the bottom of this notice at least five days in advance of the hearing date.

INFORMATION ABOUT THE APPLICATION
On December 14, 2018, GSWC, BVES and BVES NewCo filed Application 18-12-019 with the CPUC requesting authorization for a corporate reorganization (Plan) that would remove BVES as a division of Golden State Water Company (GSWC) and transfer all electric utility operations of BVES to a newly formed entity, BVES NewCo, which would operate as a separate standalone subsidiary of American States Water Company (AWR).
If the CPUC approves the Application, the proposed Plan would have minimal or no impact on GSWC’s or BVES’ day-to-day operations, the quality of service provided to their respective water or electric utility customers, or the rates charged to water or electric utility customers. Instead, GSWC anticipates that in the long term, the plan would improve both water and electric utility operations. Both GSWC and the proposed BVES NewCo would remain subject to regulation by the CPUC after implementation of the Plan.

This application has been assigned to a Judge who will determine how to receive evidence and other related documents, necessary for the CPUC to establish a record upon which to base its decision. Evidentiary Hearings (EHs) may be held where parties of record will present their testimony and may be subject to crossexamination by other parties. These EHs are open to the public, but only those who are parties of record can participate.
After considering all proposals and evidence presented during the formal hearing process, the assigned Judge will issue a proposed decision which may adopt the Plan, modify it or deny it. Any CPUC Commissioner may sponsor an alternate decision. The proposed decision, and any alternate decisions, will be discussed and voted upon at a scheduled public CPUC Voting Meeting.
